ABB Agrees to Acquire Rotork to Expand Its Industrial Automation Business

ABB has agreed to acquire Rotork, a UK-based provider of intelligent flow control solutions and electric actuators, in a recommended all-cash transaction valued at approximately $5.5 billion. The proposed acquisition is designed to strengthen ABB’s position in industrial automation and expand its offering at the field-device level.

The agreement was announced on July 16, 2026. Under the proposed terms, Rotork shareholders will receive 503 pence in cash per share, while also remaining entitled to a permitted interim dividend of up to 3 pence per share. The transaction is expected to close in the first half of 2027, subject to shareholder approval and customary regulatory clearances.

Strategic Expansion in Industrial Automation

The acquisition fits closely with ABB’s long-term focus on electrification and automation. Rotork has established a strong position in mission-critical flow control and instrumentation, particularly through its electric actuator technologies and related solutions.

Rotork reported approximately $1 billion in revenue in 2025, with an adjusted operating profit margin of 24.6%. From 2022 to 2025, the company achieved an average annual organic revenue growth rate of approximately 8%, according to ABB.

The acquisition therefore represents more than a portfolio expansion; it is also intended to strengthen ABB’s exposure to higher-margin products, services and lifecycle revenue.

ABB said the transaction implies an enterprise value of approximately $5.5 billion, equivalent to around 5.3 times Rotork’s 2025 sales and approximately 19.5 times adjusted EBITDA. ABB expects the EBITDA multiple to move toward the mid-teens when anticipated synergies are taken into account.

Focus on Digitalization and Lifecycle Services

One of the potential benefits of the transaction is the combination of Rotork’s installed base with ABB’s digital and automation capabilities.

ABB expects Rotork to gain access to its global market reach, service organization and digital technologies. This could support the development of intelligent device diagnostics, asset management solutions and additional lifecycle services.

For industrial users, the combination could create opportunities to move beyond traditional actuator hardware toward more connected field devices that provide operational data, diagnostics and maintenance information. Rotork to Operate as a Separate Business

Following completion of the acquisition, Rotork is expected to operate as a separate division within ABB’s Automation business under a strategic growth mandate.

ABB said the structure is consistent with its decentralized ABB Way operating model, which emphasizes clear accountability, faster decision-making and close customer relationships.

ABB also stated that it currently has no plans to significantly change Rotork’s UK presence. Rotork is expected to remain an important manufacturing and technology base in the United Kingdom, while ABB intends to support continuity of leadership and work closely with Rotork’s existing management team.

ABB Continues Its Automation Portfolio Expansion

The Rotork transaction comes as ABB continues to reshape its portfolio around electrification, automation and digital technologies.

ABB plans to finance the acquisition using existing cash resources and committed bank facilities. The company also expects the planned divestment of its Robotics business to SoftBank to generate approximately $4.8 billion in net cash proceeds, providing additional financial flexibility for acquisitions and the continuation of its share buyback program.

The proposed acquisition is another indication of ABB’s strategy to strengthen its position across the industrial automation value chain. By combining control technologies, software, measurement and analytics with intelligent field devices and flow control equipment, ABB is seeking to build a broader automation offering for large and complex industrial infrastructure.

What the ABB-Rotork Deal Could Mean for Industrial Automation

If completed as planned, the acquisition would bring together two established technology portfolios with complementary positions in industrial automation.

For customers, the potential benefits could include broader access to intelligent field devices, integrated automation solutions, digital diagnostics and lifecycle services. For ABB, Rotork adds a strong installed base, established industrial customer relationships and specialized expertise in flow control and electric actuators.

The transaction is not yet complete. Rotork shareholders must approve the deal, and the acquisition remains subject to regulatory approvals and other customary closing conditions. ABB and Rotork currently expect completion in the first half of 2027.
